Terms of Service

Overview

These terms of Service("Terms") govern your access to and use of the Memo Solution platform, APIs, and related services(collectively, the "Service")provided by Memo Solution Co.,Ltd. ("Memo"), a company incorporated in Cambodia.

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy

Acceptance of terms

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

Description of service

Memo provides a transportation management platform that includes ticketing and point-of-sale tools, live dispatch management, data integrity and audit trail services, and analytics for bus, taxt, and ferry operators in Cambodia.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at  info@memotechs.com  of any unauthorized use of your account.

You agree to provide accurate, complete, and current information when creating your account and to keep this information up to date.

Acceptable use

You agree not to:

• Use the Service in any way that violates applicable Cambodian law or regulation
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit unsolicited communications or malware
• Resell, sublicense, or otherwise transfer access to the Service without written consent
• Use the Service to process transactions on behalf of operators not covered by your agreement

Intellectual property

The Service, including all software, designs, text, graphics, and other content, is owned by Memo or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.

You retain ownership of any data you or your operators generate through use of the Service. You grant Memo a limited, non-exclusive license to use that data solely to provide and improve the Service.

Limitation of liability

To the maximum extent permitted by applicable law, Memo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you to Memo in the twelve(12)months preceding the claim.

Termination

Either party may terminate this agreement with 30 days' written notice. Memo may terminate or suspend your access immediately if you materially breach these Terms or if required to do so by law.

Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

Governing law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Cambodia, without regard to conflict of law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Phnom Penh, Cambodia.

Changes to terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
